TCG MIMIC Terms & Conditions

The following terms have the meanings set out below whenever used in these Terms:

• "TCG MIMIC" means the technology platform provider, marketplace operator and digital infrastructure provider.
• "Platform" means all digital services, software, websites, applications, databases, tools and systems provided by TCG MIMIC.
• "Mimic Store Organization (MSO)" means the organizational framework composed of participating Store Partners that coordinate and operate tournaments and competitive activities through standardized procedures.
• "Store Partner" means an approved business, gaming store or organization participating in the MSO network.
• "Player" means any individual user participating in tournaments, using marketplace features, managing collections or accessing platform services.
• "Creator" means a promotional partner participating in the TCG MIMIC Creator Program.
• "Tournament" means any competitive event operated within the MSO framework.
• "Entry Fee" means any amount paid by a Player to participate in a Tournament.
• "Platform Service Fee" means the service compensation retained by TCG MIMIC for providing technology, automation, payment processing, tournament management, marketplace infrastructure, communication systems, analytics and other digital services.
• "Marketplace" means the platform environment where users and Store Partners may list, buy, sell or exchange trading cards and related products.
• "Wallet" means the digital balance system used for platform transactions, rewards, credits or payments.

TCG MIMIC acts as a technology and digital service provider. TCG MIMIC provides:

• tournament management infrastructure;
• registration systems;
• automated pairing systems;
• rankings and statistics;
• marketplace technology;
• payment processing infrastructure;
• wallet systems;
• notifications and communication tools;
• analytics and reporting;
• digital services supporting the MSO ecosystem.

Unless expressly stated otherwise, TCG MIMIC does not act as the physical organizer of individual Store Partner events. Tournament activities are conducted through the MSO framework and participating Store Partners.

The MSO is a structured network of participating Store Partners operating under common standards.

Store Partners voluntarily join the MSO framework and agree to follow tournament procedures, operational standards and platform requirements.

The MSO exists to coordinate competitive events, improve player experience, establish consistent tournament standards and create a unified competitive ecosystem.

TCG MIMIC provides the technology infrastructure supporting the MSO.

Players may register for tournaments through the Platform. Tournament participation may require payment of an Entry Fee. Entry Fees are collected through the Platform infrastructure.

Store Partners authorize TCG MIMIC to collect applicable tournament fees and retain the applicable Platform Service Fee as compensation for the technology and digital services provided. The remaining amounts are allocated according to tournament rules, prize pool structures, promotional agreements and MSO procedures.

The Platform Service Fee is not a tournament ownership fee, prize deduction or organizer fee. It represents compensation for technology and digital infrastructure services.

Players must:

• provide accurate account information;
• maintain account security;
• comply with tournament rules;
• respect fair play principles;
• avoid cheating, fraud, manipulation or abusive behavior.

Players acknowledge that tournament rankings, results, rewards and eligibility may depend on compliance with official rules. TCG MIMIC and the MSO may investigate suspicious activity and take appropriate actions, including account restrictions, removal from events or suspension.

Creators may participate in promotional programs offered by TCG MIMIC. Creators may receive referral codes, promotional tools or commission opportunities according to separate Creator Program agreements.

Creators must:

• provide accurate promotional information;
• avoid misleading claims;
• respect intellectual property rights;
• comply with applicable advertising laws.

TCG MIMIC may suspend creator accounts involved in fraud, abuse, manipulation or violation of promotional policies.

Store Partners joining the MSO agree to:

• maintain accurate business information;
• operate events according to MSO standards;
• provide appropriate customer support;
• comply with applicable laws;
• maintain professional standards;
• respect tournament integrity.

Store Partners acknowledge that participation in the MSO requires compliance with platform procedures and operational requirements. Store Partners authorize TCG MIMIC to provide digital services and retain applicable Platform Service Fees from transactions processed through the Platform.

TCG MIMIC provides marketplace technology connecting buyers and sellers. Unless expressly stated otherwise:

• sellers remain responsible for listed products;
• buyers remain responsible for purchase decisions;
• TCG MIMIC does not guarantee third-party product availability, condition, authenticity or value.

Users must provide accurate product information. Trading card conditions, including Near Mint, Excellent, Played, Damaged or similar classifications, must be represented honestly.

Fraudulent listings, counterfeit products, manipulation of prices or abusive marketplace activity are prohibited.

Payments may be processed through third-party payment providers. Users authorize TCG MIMIC to facilitate transactions through available payment systems.

Wallet balances may be used according to applicable platform rules. TCG MIMIC may delay, restrict or review transactions to prevent fraud, comply with legal obligations or protect users.

Credits conversion. The Platform uses an internal unit called "Credit" (CRD). Credits are displayed to each user in their local currency, automatically detected from the connection region and adjustable from the currency switcher. The conversion rate is fixed and applies uniformly across the entire Platform (marketplace, card pages, store listings, profiles, wallet and balances):

• 1 Credit = 1 USD (United States Dollar)
• 1 Credit = 1 EUR (Euro)
• 1 Credit = 20 MXN (Mexican Pesos)
• 1 Credit = 1.60 CAD (Canadian Dollar)

Visitors connecting from the Eurozone always see prices in EUR, from the United States in USD, from Canada in CAD and from Mexico in MXN. Users may override the displayed currency at any time; the underlying Credit value of each transaction remains unchanged.

Tournament prizes may include:

• store vouchers;
• digital rewards;
• physical products;
• promotional rewards;
• other benefits defined by tournament rules.

Prize distribution procedures may vary depending on tournament type, location and MSO agreements.

All Platform technology, software, designs, trademarks, logos, databases, interfaces and content owned by TCG MIMIC remain the exclusive property of TCG MIMIC.

Users receive a limited, non-exclusive, non-transferable license to use the Platform according to these Terms.

TCG MIMIC is an independent platform.

TCG MIMIC is not affiliated with Wizards of the Coast, Magic: The Gathering, Pokémon Company, Yu-Gi-Oh! or other trading card game publishers unless expressly stated.

All third-party trademarks belong to their respective owners.

Users may not:

• commit fraud;
• manipulate tournaments;
• use unauthorized software;
• create fake accounts;
• exploit platform vulnerabilities;
• sell counterfeit products;
• abuse payment systems;
• violate applicable laws.

TCG MIMIC may restrict or terminate accounts that violate these Terms, platform policies, tournament rules or applicable laws.

To the maximum extent permitted by law, TCG MIMIC provides the Platform on an "as available" basis.

TCG MIMIC is not responsible for:

• disputes between users;
• third-party products;
• physical event activities conducted by Store Partners;
• losses caused by unauthorized user actions;
• external service interruptions.

Users, Creators and Store Partners agree to indemnify and protect TCG MIMIC from claims, damages, liabilities and expenses arising from violations of these Terms or misuse of the Platform.

TCG MIMIC operates internationally. Users are responsible for compliance with local laws applicable to their location. Certain services may vary depending on jurisdiction.

TCG MIMIC may update these Terms to reflect changes in services, regulations, technology or business operations. Continued use of the Platform after updates constitutes acceptance of revised Terms.

These Terms shall be interpreted according to applicable laws determined by the jurisdiction of TCG MIMIC's operating entity, without limiting mandatory consumer protections where applicable.

These Terms incorporate additional policies, including:

• Privacy Policy;
• Cookie Policy;
• Marketplace Policy;
• Tournament Rules;
• Creator Agreement;
• Store Partner Agreement;
• Refund Policy;
• Prize Policy.

The following provisions govern the TCG MIMIC Economy Management System and form an integral part of these Terms & Conditions.

The Economy Management System (“Economy System”) governs the operation of Credits, Cash Balances, tournament entry payments, marketplace proceeds, internal conversions, partner redemptions and related economic activities within the TCG MIMIC platform.

The Economy System is designed to maintain a clear separation between:

• Digital Credits used within the TCG MIMIC ecosystem;
• Cash Balances generated through eligible marketplace activity;
• Tournament participation and prize distributions;
• Creator and Store partner compensation;
• Store redemptions;
• Eligible internal conversions between Cash Balances and Credits;
• Payment processing and settlement.

All transactions within the Economy System are subject to these Terms & Conditions, the applicable TCG MIMIC platform rules and, where applicable, separate Creator or Store Partner Terms.

Credits (“CR”) are the primary digital unit used within the TCG MIMIC tournament and competitive ecosystem.

Credits may be used for eligible activities including:

• Tournament entry fees;
• Competitive events;
• Other platform services expressly designated as payable in Credits.

Credits are not legal tender, electronic money, bank deposits, financial instruments, securities or cryptocurrency.

Credits do not represent funds deposited or held in a user's personal bank account.

Credits are intended solely for use within the TCG MIMIC ecosystem and may only be used or transferred in accordance with the functionality expressly provided by TCG MIMIC.

Users may purchase Credits exclusively through the payment method specified in the Payment Method section of these Terms.

Credits purchased by a user are credited to the user's TCG MIMIC Credit Balance following successful payment confirmation.

The purchase of Credits does not constitute a cash deposit or the acquisition of a cash-equivalent balance.

Purchased Credits cannot be withdrawn or redeemed directly for cash by the purchasing user.

4.1 Exclusive Payment Method for Credit Purchases

TCG MIMIC accepts Pay by Bank as the exclusive payment method for purchasing Credits.

Credit cards, debit cards, PayPal, cryptocurrency and other payment methods are not accepted for Credit purchases unless TCG MIMIC expressly introduces additional payment methods in the future.

Pay by Bank payments are processed through TrueLayer, TCG MIMIC's third-party Open Banking payment infrastructure partner.

Users purchasing Credits are therefore required to initiate payment through a supported bank account made available through the TCG MIMIC payment interface.

The availability of a particular banking provider may depend on the user's country, account type, currency, payment scheme, provider availability and other technical or regulatory factors.

The following banking providers are currently available within the TCG MIMIC Pay by Bank payment infrastructure through TrueLayer.

The availability of individual providers may change over time and may depend on the specific payment flow, account type, country and other conditions.

The list above reflects the banking providers currently available through the TCG MIMIC Pay by Bank integration at the time of publication.

TCG MIMIC does not guarantee the continuous availability of any individual banking provider. Providers may be temporarily unavailable, suspended, removed, added or modified by the relevant financial institution, TrueLayer or other applicable payment infrastructure.

Users will only be able to select providers that are currently available through the TCG MIMIC payment interface.

Credits are allocated only after the corresponding Pay by Bank payment has been successfully confirmed.

The initiation of a bank payment does not, by itself, constitute confirmation of payment.

TCG MIMIC may wait for confirmation from TrueLayer and the relevant payment infrastructure before allocating Credits.

If a payment is cancelled, rejected, failed, reversed or otherwise not successfully completed, Credits may not be issued or may be reversed where appropriate.

Tournament entry fees are payable exclusively in Credits.

When a player registers for a paid tournament, the applicable amount of Credits is deducted from the player's Credit Balance.

Players cannot register for paid tournaments without sufficient Credits.

Each transaction is recorded in the TCG MIMIC internal transaction ledger.

TCG MIMIC applies a 10% platform fee to tournament entry activity, calculated according to the applicable tournament structure and economic model.

The applicable fee is reflected in the tournament's economic and prize distribution structure.

For tournaments operated through Creator or Store circuits, the platform fee may be subject to separate commercial arrangements between TCG MIMIC and the relevant Creator or Store.

Such partner commercial arrangements are governed by separate Partner Terms and are not part of the public player economy.

Tournament prize pools are distributed according to the specific rules and prize structure published for each tournament.

Prize distributions are calculated and processed by the TCG MIMIC tournament system.

The system is designed to ensure accurate:

• Tournament rankings;
• Player placements;
• Prize calculations;
• Prize allocations;
• Transaction reconciliation.

Eligible tournament prizes are credited to the player's TCG MIMIC Credit Balance following tournament completion and finalisation.

Credits earned as tournament prizes remain Credits within the TCG MIMIC ecosystem.

Prize Credits may be used for future eligible tournaments and other Credit-based platform activities.

Prize Credits cannot be directly withdrawn or converted into cash by the player.

The fact that Credits were earned rather than purchased does not change their status as platform Credits.

Users who sell eligible physical products through the TCG MIMIC Marketplace may receive an eligible Cash Balance.

The Cash Balance is separate from the user's Credit Balance.

The platform therefore maintains two distinct economic balances:

Credit Balance — used for:

• Tournament entry fees;
• Competitive activities;
• Other services payable in Credits.

Cash Balance — generated through:

• Eligible Marketplace sales;
• Other activities expressly designated by TCG MIMIC as generating Cash Balance.

Credits and Cash Balances are separate and cannot be freely exchanged except where an expressly supported conversion mechanism is available.

Eligible users who have accumulated funds through qualifying Marketplace activity may be permitted to convert eligible Cash Balance into Credits.

A 5% conversion fee applies to eligible Cash-to-Credits conversions.

The applicable conversion fee and resulting Credit amount are displayed to the user before the transaction is confirmed.

Following confirmation, the converted amount is credited to the user's Credit Balance.

Once converted into Credits, the amount cannot subsequently be converted back into Cash by the player.

Players cannot convert Credits into Cash.

This applies to:

• Purchased Credits;
• Tournament prize Credits;
• Promotional Credits;
• Bonus Credits;
• Credits received through other platform activities;
• Credits resulting from Cash-to-Credit conversion.

Players cannot:

• Withdraw Credits to a bank account;
• Request a cash payout for Credits;
• Sell Credits for cash;
• Exchange Credits for legal tender;
• Receive cash directly from TCG MIMIC in exchange for Credits.

The TCG MIMIC Credit system is therefore intended to operate as a closed-loop digital platform economy.

Only eligible Creators and Stores participating in the TCG MIMIC partner ecosystem may be entitled to receive monetary compensation or eligible cash redemptions from TCG MIMIC.

The eligibility and conditions applicable to such redemptions are governed by separate Creator and Store Partner Terms.

Stores: eligible Stores may receive monetary compensation associated with approved commercial activities, including eligible Marketplace sales and other approved Store activities.

Creators: eligible Creators may receive monetary compensation for their participation in, promotion of, sponsorship of or contribution to the TCG MIMIC ecosystem and Creator Circuit.

Players do not have access to the partner redemption system.

Where a Store sells physical products through the TCG MIMIC Marketplace, the Store remains responsible for issuing all invoices, receipts, fiscal documents and other legally required documentation applicable to the transaction.

Stores are solely responsible for their applicable tax, VAT, GST and other fiscal obligations.

TCG MIMIC does not permit Stores to exchange Credits for cash directly with players.

Creators participating in the TCG MIMIC ecosystem may receive compensation for eligible promotional, sponsorship, organisational or other approved activities.

Creator compensation is governed by separate Creator Partner Terms.

Creators are not permitted to convert player Credits into cash or facilitate the conversion of player Credits into cash.

Eligible monetary balances owed to authorised Creators and Stores may be paid through the payout methods made available by TCG MIMIC.

Payouts may be subject to:

• Identity verification;
• Business verification;
• Anti-money laundering procedures;
• Sanctions screening;
• Fraud prevention;
• Transaction monitoring;
• Applicable legal and regulatory requirements.

TCG MIMIC may determine the payout methods and payment infrastructure used to process eligible partner payouts.

The availability and timing of payouts may vary according to jurisdiction, banking infrastructure, compliance requirements and other applicable factors.

Players, Creators and Stores must not use the TCG MIMIC platform to circumvent the Economy System through direct cash exchanges involving Credits.

Creators and Stores must not:

• Purchase Credits from players for cash;
• Sell cash to players in exchange for Credits;
• Convert player Credits into cash;
• Provide cash refunds for Credits;
• Facilitate off-platform conversion of Credits into cash.

Attempts to circumvent the Economy System may result in account suspension or termination.

Refunds related to Credit purchases are handled in accordance with the applicable refund policy and the status of the underlying payment transaction.

Where a payment is reversed, refunded or otherwise invalidated, TCG MIMIC may reverse the corresponding Credit allocation.

Where Credits have already been used, TCG MIMIC may apply an equivalent adjustment to the user's Credit Balance, subject to applicable law.

TrueLayer is an independent third-party Open Banking payment infrastructure provider.

TCG MIMIC does not control the availability of individual banking providers.

A banking provider may become temporarily unavailable due to:

• Technical maintenance;
• Banking outages;
• Regulatory restrictions;
• Payment scheme interruptions;
• Provider availability;
• Security measures;
• Fraud prevention;
• Changes to Open Banking infrastructure.

TCG MIMIC is not responsible for temporary unavailability caused by third-party payment infrastructure.

All Credit and Cash transactions are recorded within the TCG MIMIC internal transaction ledger.

The ledger may record:

• Credit purchases;
• Tournament entry deductions;
• Tournament prizes;
• Marketplace Cash Balance movements;
• Cash-to-Credit conversions;
• Conversion fees;
• Partner redemptions;
• Refunds;
• Reversals;
• Corrections and adjustments.

The internal transaction ledger constitutes the authoritative record of platform economic transactions.

TCG MIMIC may suspend, restrict or terminate accounts involved in:

• Payment fraud;
• Money laundering;
• Payment reversal abuse;
• Credit manipulation;
• Fraudulent Marketplace transactions;
• Tournament manipulation;
• Collusion;
• Abuse of partner payout systems;
• Circumvention of the Credit economy;
• Unauthorized transfer or sale of Credits.

TCG MIMIC may delay transactions, Credit allocations or payouts while conducting security, fraud or compliance checks.

TCG MIMIC may modify the Economy System when necessary to:

• Comply with applicable laws;
• Adapt to changes in payment infrastructure;
• Introduce new services;
• Modify tournament structures;
• Improve security;
• Prevent fraud or abuse;
• Respond to changes in third-party provider requirements.

Material changes affecting users will be communicated in accordance with the general Terms & Conditions.

The list of supported banking providers may be updated periodically without changing the fundamental principles governing the Economy System.
